This End User License Agreement (“Agreement”) is between you and Vlodkodesign LLC, which owns and operates Modelbee (“Modelbee”, “we”, “us”). By ticking the box at sign-up, creating an account, or using Modelbee in any way, you agree to this Agreement, our Terms of Service and our Privacy Policy. If you do not agree, do not use Modelbee.
Modelbee is an online marketplace that introduces people who need something made (“clients”) to independent model shops and fabricators (“makers”). Modelbee is not a manufacturer, contractor, agent, broker, escrow service or party to any agreement between a client and a maker. We do not inspect, guarantee, insure or ship any work. Any contract for work is solely between the client and the maker.
We grant you a limited, revocable, non-exclusive, non-transferable license to use Modelbee for its intended purpose. You may not copy, modify, reverse-engineer, scrape, resell or interfere with the service, probe its security, or use it for anything unlawful.
You must be at least 18 and able to enter a binding contract. You are responsible for everything done under your account and for keeping your password private. Tell us promptly if you believe your account has been compromised.
You keep ownership of everything you upload — briefs, photos, CAD files, messages, shop profiles. You grant us a worldwide, royalty-free license to store, process, display and transmit that content only as needed to run Modelbee (for example, showing your brief to matching makers, or unlocking a CAD file for the maker you hire). You confirm you have the right to upload it and that it does not infringe anyone else’s rights or any export or manufacturing restriction.
We would like to showcase work made through Modelbee. We will only use images, descriptions or other material from a completed project for marketing, case studies, social media or the Modelbee website with the express permission of the project owner (the client who posted it), obtained separately in writing for that project. Without that permission we will not use your project material for promotion. Maker shop profiles, which are public by design, may be featured as they appear on the site.
CAD and other 3D files attached to a project are shown only to the project owner and to a maker whose bid has been accepted. Makers agree to use such files solely to quote and produce that job and not to copy, share or reuse them. These controls are enforced technically and contractually, but no system is perfect — see section 8 — so do not upload anything whose disclosure you could not tolerate.
Modelbee is new software provided “as is” and “as available”. You acknowledge and accept that it may contain bugs; may be unavailable, slow or behave incorrectly; may lose, corrupt or fail to deliver data, files, messages, bids or notifications; and, despite reasonable safeguards, may suffer a security incident in which data you uploaded — including confidential files and personal information — is accessed, disclosed or leaked without authorization. We do not promise that any of these things will not happen, and you agree to keep your own copies of anything you upload.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation. We make no warranty about any maker, client, bid, quotation, lead time, price, or the quality, safety or legality of any work.
To the fullest extent permitted by law, you release and agree not to hold liable Vlodkodesign LLC, Modelbee, and their owner(s), members, officers, employees, contractors and agents (together, the “Released Parties”) for any loss or damage of any kind arising out of or connected with your use of Modelbee — including, without limitation, loss or leakage of data or files, unauthorized access to your account or content, software bugs or errors, service interruptions, lost profits or business, the conduct of any client or maker, or any work performed or not performed. In no event will the Released Parties be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, even if advised of their possibility. If, notwithstanding the above, liability is found, the Released Parties’ total aggregate liability to you will not exceed the greater of the fees you paid to Modelbee in the twelve months before the claim or one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations; in those places the Released Parties’ liability is limited to the smallest amount the law permits.
You will defend, indemnify and hold the Released Parties harmless from any claim, loss or expense (including reasonable legal fees) arising from your content, your use of Modelbee, your breach of this Agreement, or any dispute between you and another user.
You may stop using Modelbee at any time and may ask us to delete your account. We may suspend or terminate accounts that breach this Agreement or put the service or other users at risk. Sections 5 through 11 survive termination.
We may update this Agreement. If a change is material we will post the new version here with a new date and, where practical, ask you to accept it again when you next sign in. Continued use after a change means you accept it.
This Agreement is governed by the laws of the jurisdiction in which Vlodkodesign LLC is organized, without regard to conflict-of-law rules. Any dispute will be brought in the courts of that jurisdiction, and you consent to their jurisdiction. If any part of this Agreement is found unenforceable, the rest remains in effect.
